Course Description: A shareholders’ agreement is an agreement entered into between all or some of the shareholders in a company. It regulates the relationship between the shareholders, the management of the company, ownership of the shares and the protection of the shareholders. They also govern the way in which the company is run.
This talk will concentrate on all of the above points and provide practical guidance as to what is included in a typical shareholders agreement for an accountants client.
The talk will also provide a guide to the law relating to shareholder disputes, so this minefield may be explored by accountants and their clients
About the Presenter: Paul Harris, as a Solicitor, specialised in corporate and commercial law for over 27 years. During that period, he advised on the insolvency of a number of professional football clubs, the rescue of numerous manufacturing companies, professional service entities and Lloyds names. Paul has experience in defending directors for misfeasance and in disqualification proceedings and has advised extensively on corporate governance protocols. He lectures on corporate law generally, and corporate and personal insolvency issues, where he is known for his practical approach to insolvency and directors’ duties and responsibilities.
